Estos términos aplican a los servicios B2B de HENDR Studio. / These terms apply to HENDR Studio’s B2B services.
1. Alcance de los Servicios / 1. Scope of Services
ES: HENDR Studio presta servicios B2B done-for-you enfocados en generación de demanda, atención al cliente y automatización operativa. Nuestros servicios pueden incluir HENDR SALES, HENDR SUPPORT y HENDR OPS, así como consultoría, implementación, configuración, optimización y operación continua de sistemas diseñados para entregar un resultado concreto al cliente. Cada alcance se define en una propuesta, orden de trabajo, contrato o cotización aceptada por escrito.
EN: HENDR Studio provides done-for-you B2B services focused on demand generation, customer support, and operational automation. Our services may include HENDR SALES, HENDR SUPPORT, and HENDR OPS, as well as consulting, implementation, configuration, optimization, and ongoing operation of systems designed to deliver a specific outcome to the client. Each scope is defined in a proposal, statement of work, contract, or quotation accepted in writing.
2. Naturaleza del Servicio / 2. Nature of the Service
ES: El cliente contrata un servicio gestionado, no una licencia de software independiente. HENDR Studio diseña, integra y opera sistemas que pueden incluir modelos de IA, automatizaciones, flujos de trabajo, paneles, integraciones y procesos internos. El cliente recibe el resultado acordado, mientras que la arquitectura subyacente, métodos, plantillas, prompts, flujos, scripts, configuraciones y sistemas de operación permanecen bajo la titularidad de HENDR Studio, salvo acuerdo escrito distinto.
EN: The client purchases a managed service, not a standalone software license. HENDR Studio designs, integrates, and operates systems that may include AI models, automations, workflows, dashboards, integrations, and internal processes. The client receives the agreed outcome, while the underlying architecture, methods, templates, prompts, flows, scripts, configurations, and operating systems remain the property of HENDR Studio unless otherwise agreed in writing.
3. Proceso de Trabajo y Entregables / 3. Work Process and Deliverables
ES: Nuestro proceso puede incluir descubrimiento, diseño, construcción, pruebas, despliegue, operación y optimización. Los tiempos de entrega son estimados y dependen de la complejidad, de la rapidez de respuesta del cliente y de las integraciones necesarias. HENDR Studio puede entregar reportes, documentación, flujos, configuraciones, tableros, campañas, respuestas automatizadas, assets de marca u otros entregables definidos en el alcance.
EN: Our process may include discovery, design, build, testing, deployment, operation, and optimization. Delivery timelines are estimates and depend on complexity, client responsiveness, and the integrations required. HENDR Studio may deliver reports, documentation, workflows, configurations, dashboards, campaigns, automated responses, brand assets, or other deliverables defined in the scope.
4. Responsabilidades del Cliente / 4. Client Responsibilities
ES: El cliente debe proporcionar información precisa, acceso oportuno a las herramientas, cuentas, sistemas, credenciales y aprobaciones necesarias para prestar el servicio. El cliente es responsable de verificar la legalidad, exactitud y permisos de cualquier dato, contenido o instrucción que nos comparta, incluyendo información de leads, clientes, pacientes, prospectos, pólizas, inmuebles, facturación o comunicaciones comerciales.
EN: The client must provide accurate information and timely access to the tools, accounts, systems, credentials, and approvals necessary to deliver the service. The client is responsible for ensuring the legality, accuracy, and permissions of any data, content, or instructions shared with us, including lead data, customer data, patient-related data, policy data, property data, billing data, or commercial communications.
5. Inteligencia Artificial y Terceros / 5. Artificial Intelligence and Third Parties
ES: Para prestar los servicios, HENDR Studio puede utilizar herramientas de terceros, incluyendo proveedores de IA, automatización, mensajería, analítica, infraestructura, almacenamiento, CRM, correo, formularios, calendario y servicios similares. Entre estos proveedores pueden estar OpenAI, Anthropic, Google y otros que sean necesarios según el proyecto. Estos terceros se utilizan solo para operar, mejorar y entregar el servicio contratado.
EN: To provide the services, HENDR Studio may use third-party tools, including AI providers, automation tools, messaging services, analytics, infrastructure, storage, CRM systems, email, forms, calendar tools, and similar services. These providers may include OpenAI, Anthropic, Google, and others required for the project. These third parties are used only to operate, improve, and deliver the contracted service.
6. Uso de Datos del Cliente / 6. Use of Client Data
ES: Toda información del cliente se utiliza únicamente para enriquecer, operar y mejorar el servicio contratado para ese mismo cliente. No utilizamos los datos del cliente para entrenar, mejorar o alimentar procesos de otros clientes, ni para crear modelos reutilizables para terceros, salvo autorización expresa por escrito. HENDR Studio puede crear automatizaciones, reglas, plantillas, prompts y configuraciones internas que forman parte de su propiedad intelectual, aunque los datos del cliente siguen siendo del cliente.
EN: All client information is used only to enrich, operate, and improve the contracted service for that same client. We do not use client data to train, improve, or feed processes for other clients, nor to create reusable models for third parties, unless expressly authorized in writing. HENDR Studio may create automations, rules, templates, prompts, and internal configurations that remain HENDR Studio’s intellectual property, while the client’s data remains the client’s data.
7. Propiedad Intelectual / 7. Intellectual Property
ES: HENDR Studio conserva todos los derechos sobre su metodología, know-how, flujos, sistemas, prompts, código base, plantillas, documentación interna, procesos, marcas, y cualquier material preexistente o desarrollado como parte de su plataforma operativa. Salvo pacto expreso por escrito, el cliente recibe únicamente un derecho limitado, no exclusivo e intransferible para usar el entregable final dentro de su operación interna.
EN: HENDR Studio retains all rights in its methodology, know-how, workflows, systems, prompts, base code, templates, internal documentation, processes, trademarks, and any pre-existing or platform-developed material. Unless expressly agreed in writing, the client receives only a limited, non-exclusive, non-transferable right to use the final deliverable within its internal operations.
8. Garantía de Mejor Esfuerzo / 8. Best Efforts Warranty
ES: HENDR Studio presta sus servicios con una obligación de medio y mejor esfuerzo, no de resultado garantizado. Aunque trabajamos para entregar sistemas útiles, estables y alineados al objetivo del cliente, no garantizamos ventas, conversiones, ingresos, reducción de costos, tiempos de respuesta, posiciones de mercado, aprobaciones regulatorias ni cualquier resultado comercial específico.
EN: HENDR Studio provides its services under a best-efforts, means-based obligation, not a guaranteed-outcome obligation. While we work to deliver useful, stable systems aligned with the client’s objective, we do not guarantee sales, conversions, revenue, cost reductions, response times, market position, regulatory approvals, or any specific commercial outcome.
9. Uso Aceptable y Cumplimiento / 9. Acceptable Use and Compliance
ES: El cliente no podrá usar los servicios para fines ilícitos, engañosos, discriminatorios, fraudulentos o que infrinjan derechos de terceros. En sectores regulados como salud, finanzas, seguros, turismo, hoteles o real estate, el cliente es responsable de confirmar que sus instrucciones, contenidos, mensajes, ofertas y procesos cumplan con la normativa aplicable, incluyendo reglas de publicidad, privacidad, protección al consumidor y cualquier deber profesional o regulatorio.
EN: The client may not use the services for unlawful, deceptive, discriminatory, fraudulent, or third-party-infringing purposes. In regulated sectors such as health, finance, insurance, tourism, hospitality, or real estate, the client is responsible for confirming that its instructions, content, messages, offers, and processes comply with applicable laws, including advertising rules, privacy laws, consumer protection laws, and any professional or regulatory duties.
10. Pagos, Suspensión y Mora / 10. Payments, Suspension, and Late Fees
ES: Los honorarios, anticipos, renovaciones y cargos adicionales se indicarán en la cotización o acuerdo aplicable. Si un pago no se recibe a tiempo, HENDR Studio podrá suspender total o parcialmente el servicio hasta recibir el pago pendiente. Los impuestos, cargos bancarios, comisiones por pasarela y retenciones aplicables correrán por cuenta del cliente salvo que se indique lo contrario por escrito.
EN: Fees, deposits, renewals, and additional charges will be stated in the applicable quotation or agreement. If payment is not received on time, HENDR Studio may suspend all or part of the service until the outstanding amount is paid. Taxes, bank charges, payment processor fees, and applicable withholding taxes are the client’s responsibility unless otherwise stated in writing.
11. Limitación de Responsabilidad / 11. Limitation of Liability
ES: En la máxima medida permitida por la ley, la responsabilidad total de HENDR Studio derivada de o relacionada con los servicios se limitará al monto efectivamente pagado por el cliente por el servicio específico que dio origen a la reclamación durante los tres meses anteriores al evento que originó la controversia, o al monto menor permitido por la ley aplicable. HENDR Studio no será responsable por daños indirectos, incidentales, especiales, punitivos, consecuenciales, lucro cesante, pérdida de datos, pérdida de negocio o pérdida de reputación.
EN: To the maximum extent permitted by law, HENDR Studio’s total liability arising out of or relating to the services will be limited to the amount actually paid by the client for the specific service giving rise to the claim during the three months preceding the event that triggered the dispute, or the lesser amount allowed by applicable law. HENDR Studio will not be liable for indirect, incidental, special, punitive, consequential, lost-profit, data-loss, business-loss, or reputation-loss damages.
12. Indemnización / 12. Indemnification
ES: El cliente acepta indemnizar, defender y mantener en paz y a salvo a HENDR Studio, sus directivos, empleados y contratistas frente a cualquier reclamación, pérdida, multa, daño, costo o gasto que surja del contenido del cliente, de su uso indebido de los servicios, de la violación de la ley, o de la infracción de derechos de terceros por instrucciones, datos o materiales proporcionados por el cliente.
EN: The client agrees to indemnify, defend, and hold harmless HENDR Studio, its officers, employees, and contractors from any claim, loss, fine, damage, cost, or expense arising out of the client’s content, misuse of the services, violation of law, or infringement of third-party rights through client-provided instructions, data, or materials.
13. Confidencialidad / 13. Confidentiality
ES: Ambas partes se comprometen a mantener confidencial toda información no pública recibida de la otra parte y a usarla únicamente para cumplir con el acuerdo. Esta obligación no aplica a información que sea pública sin culpa de la parte receptora, que se reciba legítimamente de un tercero, o que deba divulgarse por ley, orden judicial o autoridad competente.
EN: Both parties agree to keep all non-public information received from the other party confidential and to use it only to perform the agreement. This obligation does not apply to information that becomes public without the receiving party’s fault, is lawfully received from a third party, or must be disclosed by law, court order, or competent authority.
14. Terminación / 14. Termination
ES: Cualquiera de las partes podrá terminar un servicio de acuerdo recurrente mediante aviso por escrito conforme a lo establecido en la propuesta o contrato aplicable. HENDR Studio podrá terminar o suspender el servicio de forma inmediata si el cliente incumple el acuerdo, usa el servicio de manera riesgosa o ilícita, no paga a tiempo o impide razonablemente la prestación del servicio.
EN: Either party may terminate a recurring service by written notice in accordance with the applicable proposal or contract. HENDR Studio may immediately terminate or suspend the service if the client breaches the agreement, uses the service in a risky or unlawful way, fails to pay on time, or unreasonably prevents service delivery.
15. Arbitraje, Renuncia a Acciones Colectivas y Ley Aplicable / 15. Arbitration, Class Action Waiver, and Governing Law
ES: Toda controversia derivada de estos términos o del servicio se resolverá primero de buena fe entre las partes. Si no se resuelve, la disputa se someterá a arbitraje vinculante e individual, en idioma inglés o español según acuerden las partes, administrado en la jurisdicción principal de HENDR Studio o en la que se indique en el contrato aplicable. En la máxima medida permitida por la ley, el cliente y HENDR Studio renuncian a cualquier acción colectiva, representativa o consolidada. Estos términos se regirán por la ley aplicable indicada en el contrato, o en su defecto, por la ley del estado de constitución de HENDR Studio y la ley federal de Estados Unidos en lo conducente.
EN: Any dispute arising out of these terms or the service will first be addressed in good faith between the parties. If unresolved, the dispute will be submitted to binding, individual arbitration, in English or Spanish as the parties agree, administered in the primary jurisdiction of HENDR Studio or as otherwise stated in the applicable contract. To the maximum extent permitted by law, the client and HENDR Studio waive any class, representative, or consolidated action. These terms will be governed by the law specified in the contract, or otherwise by the law of HENDR Studio’s state of formation and applicable U.S. federal law.
